1.  Introduction

This Expert Agreement, in combination with JustAnswer's general Terms of Service, sets forth the terms and conditions under which JustAnswer makes the Services available to you.  The Terms of Service is an integral part of this Expert Agreement and is incorporated herein by reference. 

2.  Definitions

Capitalized terms not defined in this Agreement will have the meanings set forth in the Terms of Service.

3.  Acceptance

Your acceptance of these terms is signified by checking the "I Agree" box and then completing the on-line registration process.  By doing so, you agree to be bound by all of the terms and conditions contained in this Expert Agreement and the Terms of Service.  You have the right to have a record of this Expert Agreement and any other Agreement you enter into with JustAnswer made available on paper form upon request for no additional fee.  Simply e-mail info@justanswer.com.  In addition to signifying your acceptance of these terms, in order to use or continue to use the Services you may be required to and you agree to provide information as requested by JustAnswer  In such an event, you consent to JustAnswer's disclosure of such information to third-parties in order to verify such information (if JUST ANSWER! chooses to conduct such verification, which it is not obligated to do) or in order to comply with federal, state or local laws or regulations.

4.  Expert Accounts and Conduct

Without limiting any other remedies, JustAnswer may suspend or terminate your account if we suspect, in our sole judgment, that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site or have engaged in activities in violation of the terms of this Expert Agreement, the TOS or related Agreements with JustAnswer. If we terminate or suspend your account because you inaccurately described your credentials, as determined by a third-party verification company, you may be responsible for the costs associated with that verification. JustAnswer also may suspend or terminate your account if we determine, in our sole judgment (which may be based in whole or in part on your acceptance rate, Customer feedback or other Expert feedback), that you are not providing the quality of answers we determine, in our sole discretion, is useful on the Site. If JustAnswer suspends or terminates your account, you may not open a new account (under your name, a fictitious name or someone else's name). Any monies accumulated under such an account will not be paid out and will be the property of JustAnswer

You will be solely and fully liable and responsible for all activities and answers provided under your username and password.

JustAnswer provides a venue where you may answer questions by other members of the Site.  The specific features of the Site are to be determined solely by JustAnswer and are subject to change or termination without notice.  Expert has no rights in and to the Site and Services or in and to any use or continued use of such Site or Services.  JustAnswer makes no representation or warranty of any kind as to the ability or willingness of other members to pay for the answers provided by Expert.  You agree that any information provided in answers on the Site will not be considered confidential and may be used by JustAnswer  As between you and JustAnswer, you will maintain whatever ownership interest you have in and to the content and information you provide on the Site.  You hereby grant to JustAnswer a fully-paid, worldwide, royalty-free, irrevocable license to use, reproduce, display, edit, copy, modify, transmit, publicly perform or create derivative works of such content and information.

5.  Non-solicitation

You are prohibited from negotiating payment with a user either on or off the Site and you should not discuss with other Members how much you are paid. You are not permitted to post anything other than answers to questions or legitimate requests for information.

6.  Expert Warranties

By submitting the Expert Agreement and completing the on-line registration process, you represent and warrant to the following:

               (a) You will not misrepresent yourself or create a misleading username.  You accurately describe and represent your background, skills, knowledge and your level of experience (including educational background, degrees, current business standing, etc).  You will maintain and update such information so that it remains true, accurate and complete.

               (b) You will not provide any legal or medical advice or other professional advice or information (such as securities, tax, psychiatry, veterinary, etc) that may only lawfully be rendered or provided by a licensed professional unless you are a licensed professional in good standing and you abide by all the rules and regulations of such profession.

               (c) In addition to the other terms and conditions of the TOS and Expert Agreement, you expressly represent and warrant that you will not engage in the Restricted Activities noted in the TOS

               (d) Unless otherwise expressly stated by JustAnswer through a recognition program or otherwise, you agree and acknowledge that nothing regarding your participation on the Site will be considered as an endorsement, referral or recommendation by JustAnswer or any other Expert of you or the answers you provide and you will not, either on the Site or in any other forum or by any other means, suggest such an endorsement.

7.  Fees

The fee amount you generate for accepted answers is based on your Stage with JustAnswer, as described herein and determined by us in our sole discretion. Upon acceptance of one of your answers by another user of the Site, we will deposit the following amounts into your JustAnswer account:

For Experts in Stage 1 or Stage 2, 25% ($.25 per dollar, plus 50% of any bonus) of the amount allocated for that answer. For Experts in Stage 3, 35% ($.35 per dollar, plus 50% of any bonus) of the amount allocated for that answer. For Experts in Stage 4, 50% ($.50 per dollar, plus 75% of any bonus) of the amount allocated for that answer.

Once you have more than $20 of earned income (you can not place funds into your account to reach $20, it must be earned) in your account, just request payment via the link in your tools menu and we will transfer the money to you via PayPal on the first business day of the upcoming month.

All payments to Experts will be made in U.S. dollars.

8.  Temporary Hold On Accounts

In our sole discretion, we reserve the right to place a temporary hold on your account if we have reason to believe that the funds were earned under suspicious circumstances or that the funds were derived from a suspect Customer account.

We will continue to investigate the situation until we have adequate resolution, as determined by us, and which may require the involvement of certain third parties, including any applicable credit card company. We will make every commercially reasonable effort not to exceed sixty days hold on your account as we investigate.

In addition, we reserve the right to remove "earned" funds from your account to compensate for fraud, returns, disputed amounts, or any uncollected revenue. To the extent insufficient "earned" funds are in your account, you are required to reimburse JustAnswer in the full amount necessary to compensate for such fraud, returns, disputed amounts or uncollected revenue within fifteen (15) days of written request by JustAnswer

9.  Indemnification

You agree to indemnify, defend and hold JustAnswer, any and all parent, subsidiary, or affiliate organizations, officers, agents and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party that are in any way due to or arising out of your use of or conduct on the Service, including, without limitation, that result from any answers provided and/or relied upon on the Site.  JustAnswer shall provide you reasonable notice of such claim.

10.  No Relationship

No relationship (such as partnership, agent, joint venturer, or employee) between you and JustAnswer is created by this agreement or your participation on the site.
